PUBLIC TO PRIVATE TRANSACTIONS

Private equity has, in recent times, been very active in the UK plc takeover market. The standard regulation which applies to takeovers in the UK (the City Code on Takeovers & Mergers (the "Code")) is not overtly more onerous in the context of private equity backed public-to-private transactions and UK takeovers regulation does not appear to have had any significant effect in dissuading private equity firms from bidding for UK plcs. Indeed, in the relatively recent past, private equity has made headway into some of the largest takeover transactions within the UK (e.g. the successful offers for Alliance Boots plc and EMI plc). The Code does, however, apply differently in certain respects to public-to-private transactions. In addition, inherent in the UK takeover process are certain issues which impact on the deliverability of takeovers and which therefore require proper consideration by private equity Bidders. More
